Terms of Use

1. Introduction

Welcome to ExtensionDeal, a marketplace for buying and selling browser-extension businesses. By using our platform, you agree to comply with these Terms of Use. These Terms are a legally binding contract between you and Ekofi Capital LLC, the operator of ExtensionDeal.

This contract sets out your rights and responsibilities when you use extensiondeal.com and related services (collectively, the "Services"). By using any of our Services, including browsing, you agree to these Terms. If you do not agree, you may not use our Services.

2. Fee and Commission Structure

Seller listings are free to submit. On a successful sale completed through ExtensionDeal, the seller must pay a 5% platform commission. This commission covers marketplace distribution, deal facilitation, and acquisition support.

Additional optional paid features (such as featured placement upgrades) may be offered at checkout and are shown before purchase. If a seller attempts to avoid paying applicable fees or commission, we may suspend or terminate the account.

3. Completing Deals Through the Marketplace

Sellers who leave the platform and conclude deals outside ExtensionDeal do so at their own risk. Transactions conducted outside the platform increase the risk of fraud, and ExtensionDeal is not responsible for losses of assets or payments related to off-platform transactions.

4. Buyer Compliance and Offer Flow

Buyers are required to use the platform flow and tools made available by ExtensionDeal when transacting. Attempts to bypass platform workflows may result in account suspension and may remove our ability to assist with disputes or fraud-related outcomes.

5. Buyer Due Diligence and Responsibility

Buyers are solely responsible for conducting their own due diligence before acquiring an asset. ExtensionDeal does not provide legal, financial, tax, or investment advice and does not guarantee any return on investment.

6. Limitation of Liability

ExtensionDeal is not liable for losses or damages arising from transactions on the platform, to the fullest extent permitted by law. Buyers and sellers acknowledge they transact at their own risk.

7. Your Account with ExtensionDeal

You must create an account to use certain Services. If you violate these Terms, your account may be suspended or terminated.

A. Age requirement: You must be at least 18 years old.
B. Accuracy: You must provide accurate information and may not impersonate others.
C. Account responsibility: You are responsible for all activity under your account.
D. Password security: Keep your credentials secure.
E. Relationship: These Terms do not create agency, partnership, or employment.

8. Your Content

Content you post remains yours. By posting content, you grant ExtensionDeal and Ekofi Capital LLC a non-exclusive, worldwide, royalty-free license to host, use, display, reproduce, modify, distribute, and promote that content for operation and marketing of the Services.

You represent that you have all rights necessary for your content and that it does not infringe third-party rights. We may remove content or suspend accounts for policy or legal violations.

9. Your Use of Our Services

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services, subject to these Terms. You agree not to violate laws, evade fees, scrape the platform without permission, reverse engineer protected systems, or interfere with platform operations.

You must do your own due diligence and use reasonable fraud precautions. If you bypass platform protections or transact outside platform workflows, you assume those risks.

10. Termination

You may terminate your account at any time by contacting support. We may suspend or terminate accounts for Terms violations, including fraud risk, fee evasion, off-platform circumvention, or other misuse. We may also change, suspend, or discontinue Services at any time.

Sections that by their nature should survive termination remain in effect after termination.

11. Warranties and Disclaimers

ExtensionDeal provides a venue and does not independently verify every listing detail, seller statement, or third-party claim. Services are provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law.

We are not responsible for third-party services, user content, or interactions between users. Any legal claims relating to a purchased asset generally must be brought against the seller.

12. Indemnification

If your actions, content, or misuse of the Services causes legal claims against ExtensionDeal or Ekofi Capital LLC, you agree to defend, indemnify, and hold us harmless, including reasonable legal fees, to the fullest extent permitted by law.

13. Disputes with Other Users

We encourage users to resolve disputes directly and in good faith. ExtensionDeal may, but is not obligated to, assist with dispute resolution and does not act as a court or arbitrator of legal claims.

14. Disputes with ExtensionDeal

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. You and Ekofi Capital LLC agree to resolve disputes through binding arbitration unless otherwise required by law. Where arbitration does not apply, venue is New York County, New York.

You and ExtensionDeal waive jury trial and class-action participation to the extent allowed by law.

15. Changes to the Terms

We may update these Terms from time to time. Continued use of the Services after updates become effective constitutes acceptance of the revised Terms.
